Great Lakes Dredge & Dock Corporation (the “Registrant”) is filing this Registration Statement to register the issuance of 1,500,000 shares of Common Stock, par value $0.0001 per share (the “Common Stock”), authorized for issuance under the Great Lakes Dredge & Dock Corporation 2021 Long-Term Incentive Plan (the “Plan”). Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement shall also cover any additional shares of Common Stock that become issuable under the Plan by reason of any stock dividend, stock split, recapitalization or other similar transaction effected without receipt of consideration that increases the number of outstanding shares of Common Stock. |

The Registrant’s amended and restated certificate of incorporation and its by-laws provide for the indemnification of officers and directors to the fullest extent permitted by the DGCL.
